1. Account Terms

• You must be at least 18 years old to create an account and use the Service.
• You must provide accurate, complete, and current information during registration and keep your account details up to date.
• You are responsible for maintaining the security of your account credentials. You must not share your password or access tokens with any third party.
• You are responsible for all activities that occur under your account, whether or not authorized by you.
• We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

2. Service Description

Olli AI is a software-as-a-service (SaaS) platform that provides customer relationship management (CRM), WhatsApp Business API integration, AI-powered voice agents, patient management, appointment scheduling, campaign management, and related business tools.

We reserve the right to modify, update, or discontinue any part of the Service at any time. We will provide reasonable notice for material changes that affect your use of the platform.

3. Subscription and Billing

• Access to the Service requires a paid subscription. Plan details, pricing, and included features are described on our pricing page.
• Subscriptions are billed on a recurring basis (monthly or annually) depending on the plan you select.
• All fees are non-refundable except where required by applicable law or as explicitly stated in our refund policy.
• We may change pricing with at least 30 days' advance notice. Continued use after a price change constitutes acceptance of the new pricing.
• Usage-based charges (e.g., WhatsApp messages, voice minutes) are deducted from your prepaid wallet balance and billed at published per-unit rates.
• Failure to maintain a valid payment method or sufficient wallet balance may result in suspension of usage-based features.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, national, or international law or regulation.
• Send spam, unsolicited messages, or bulk communications that violate anti-spam laws or WhatsApp's policies.
• Transmit malware, viruses, or any code designed to disrupt, damage, or interfere with the Service.
• Attempt to gain unauthorized access to our systems, other users' accounts, or data.
• Use the Service for any activity that is fraudulent, deceptive, or harmful to others.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service.
• Resell, sublicense, or redistribute access to the Service without our prior written consent.

We reserve the right to investigate and take appropriate action against violations, including account suspension or termination.

5. Data Ownership and Privacy

You retain all ownership rights to the data you submit to the Service ("Customer Data"). We do not claim ownership over your Customer Data.

You grant us a limited license to host, process, and display your Customer Data solely for the purpose of providing the Service to you.

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

6. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by Olli AI and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

We welcome feedback and suggestions. Any feedback you provide may be used by us without obligation or compensation to you.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
• We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
• In no event shall Olli AI be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• Our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Olli AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

9. Termination

• You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
• We may suspend or terminate your access to the Service immediately if you breach these Terms or engage in conduct that we determine is harmful to the Service or other users.
• Upon termination, your right to use the Service ceases immediately. We will retain your Customer Data for up to 90 days after termination, after which it will be permanently deleted.
• Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, India.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
